1. Acceptance of Terms

By accessing or using CoExecutive by Shape My Idea (the "Service"), including via our website, WhatsApp integration, or web dashboard, you ("User," "you," "your," "Founder") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

CoExecutive by Shape My Idea is a team management platform that operates through WhatsApp, allowing founders and business owners ("Founders") to assign tasks, track progress, receive automated follow-ups, escalations, and reports for their team members ("Employees"). The Service also includes a web-based dashboard for reporting, analytics, and configuration.

CoExecutive by Shape My Idea relies on WhatsApp's messaging infrastructure (provided by Meta/WhatsApp Business Platform) to deliver its functionality. Use of the Service is subject to your and your Employees' continued ability to receive and send WhatsApp messages.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under Indian law to use this Service. By registering, you confirm that this condition is met.

4. Account Registration

To use CoExecutive by Shape My Idea, a Founder must register an account and connect a WhatsApp number for themselves and their Employees. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for all activity that occurs through your account.

5. Subscription, Pricing & Payment

CoExecutive by Shape My Idea is offered on a subscription basis (currently billed annually).

• Prices are listed on our Pricing page and are subject to change with prior notice to existing subscribers.
• Payments are processed through CashFree. By subscribing, you agree to that provider's terms as well.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled in accordance with our Cancellation and Refund Policy.
• All fees are exclusive of applicable taxes unless stated otherwise, and such taxes will be added to your invoice as required by law.

6. Use of WhatsApp / Third-Party Platforms

You acknowledge that:

• CoExecutive by Shape My Idea is not affiliated with, endorsed by, or officially connected to WhatsApp or Meta Platforms, Inc., beyond its use of their official Business Platform APIs.
• Message delivery, uptime, and formatting are subject to WhatsApp's own policies, infrastructure, and any changes they make, which are outside our control.
• You and your Employees must comply with WhatsApp's Terms of Service and Business Policies while using CoExecutive by Shape My Idea.

7. Infrastructure & Hosting

CoExecutive by Shape My Idea runs on third-party hosting and infrastructure providers, including but not limited to Hostinger, Supabase, and Amazon Web Services (AWS). These providers store and process data strictly on our behalf, under appropriate confidentiality and security obligations, and do not use your data for their own purposes.

8. User Responsibilities

You agree to:

• Use the Service only for lawful business purposes.
• Ensure that any Employee data (names, phone numbers, task details) you input is accurate and that you have the right to share it with us for the purposes of using the Service.
• Not use the Service to harass, spam, or send unsolicited messages to any individual outside your registered team.
• Not attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service or its underlying systems.

9. Employee Use of the Service

Employees interact with CoExecutive by Shape My Idea via WhatsApp at the direction of the Founder who added them. By adding an Employee to the Service, the Founder confirms they have informed that Employee and obtained any consent required under applicable law for their data to be processed as described in our Privacy Policy.

10. Intellectual Property

All rights, title, and interest in and to the Service, including its software, design, branding, and content (excluding data you input), are and remain the exclusive property of CoExecutive by Shape My Idea. You are granted a limited, non-exclusive, non-transferable license to use the Service strictly in accordance with these Terms.

11. Data and Confidentiality

Your use of task, employee, and project data within the Service is governed by our Privacy Policy, which forms part of these Terms. We do not claim ownership over the business data you input; it remains yours.

12. Service Availability and Disclaimers

• The Service is provided on an "as is" and "as available" basis. While we aim for high uptime and reliability, we do not guarantee uninterrupted or error-free operation, particularly given dependency on third-party infrastructure such as WhatsApp and our hosting providers.
• We are not liable for delays, failures, or data loss caused by outages or changes on third-party platforms we depend on.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Shape My Idea and CoExecutive by Shape My Idea shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

14. Termination

We reserve the right to suspend or terminate your access to the Service, with or without notice, if you violate these Terms, misuse the Service, or engage in conduct we reasonably believe is harmful to us, other users, or third parties. You may terminate your account at any time in accordance with our Cancellation and Refund Policy.

15. Indemnification

You agree to indemnify and hold harmless Shape My Idea and CoExecutive by Shape My Idea, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from your misuse of the Service or violation of these Terms.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app/WhatsApp notice. Continued use of the Service after such changes constitutes acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Gujarat, India.
